Legal due diligence in relation to various acquisitions including the US$1.6billion acquisition of a telcom company by a Netherlands based entity, the US$14million acquisition of a major manufacturing concern by a UK-based private equity, and the $20 million acquisition of a terminal service provider by a Chinese entity, the acquisition of a power generating company and a transaction processing company by a private equity firm.
Legal advisory on the establishment of a US$6 billion natural gas liquefaction facility, captive power plant, private port and associated gas pipeline infrastructure within a Free Trade Zone in Nigeria.

Advising a project sponsor on a US$798 million syndicated project financing for the construction and operation of a cement production plant, a 135 MW gas-fired captive power plant and ancillary gas pipeline in Nigeria.
Advised the project sponsor on a US$60 Million USEXIM-guaranteed financing for the construction, operation and maintenance of a terrestrial broadcast television and radio network in Nigeria, including review of finance structure and documentation, and procuring relevant governmental authorizations.
Advised a telecommunications company on a USD 600 million project financing of its infrastructure roll out.
Advised a conglomerate on the restructuring of its existing N30 billion multiple credit facilities and the issuance of new investment notes by its creditors.

Advising on, negotiating and drafting several joint operating agreements (JOA’s), Production Sharing Contracts (PSC’s), Farm-in agreements, Off-take agreements, maintenance agreements and Sales and Purchase Agreements in the Oil and Gas sector in Nigeria.
Advised an indigenous upstream operator on the termination of an intractable Financial and Technical Support Agreement with its foreign technical partner.
Negotiation and structuring of a Build Own Operate and Transfer (BOOT) transaction involving a major oil company for the construction of a gas gathering plant, a gas processing plant and related transmission infrastructure.

Acted as local counsel to the ECA lenders in US$ 200 Million aircraft acquisition transactions involving the sale, lease, mortgage and registration of the aircraft.
Advised an international airline on the establishment of hangar maintenance facilities and logistics in Nigeria.
Procured aircraft lease cancellation and de-registration by the Nigerian Civil Aviation Authority on behalf of a foreign lessor.
Represented a foremost international airline in a major labour dispute in Nigeria involving the National Union of Air Transport Employees (NUATE).
Counsel to an international airline in its dispute with an association of travel agents over commissions on ticket sales.

Advised an international geophysical company on Nigeria’s cabotage regime, including a review of various contracts with a view to determine which contract and what proportion of the contract sums may be subject to the 2% cabotage surchage.
Advised the sponsors in an LNG project on the potential issues regarding the importation and operation of a floating LNG producer from yard to offshore.
Represented an International Oil company in a US$ 2 million claim for damages to a fuel loading jetty; arrested the offending motor tankers.

Reviewed, advised and negotiated the terms of a Power Purchase Agreement on behalf of a power purchaser client, with respect to the acquisition of a 4MW captive power plant under a Build Own Operate and Transfer (BOOT) contract.
Advised a foreign state-owned electrical utility on country entry issues and project definition with regards to its proposed acquisition of equity in one of the successor generation companies slated for privatisation by the Federal Government.
Advised the Power Holding Company of Nigeria (PHCN) in developing a template guarantee for the purchase of power from IPP's.
